DC 5.7 LTD - good deal or being taken to cleaners?

I have a written offer for a DC 4x4 LTD 5.7

MSRP on car with options is $41,069 ($1614 MSRP of options)

Invoice is $37,811
(This invoice amt includes options, Destination charge, TDA, gas, holdback, fin reserve)

Here's the deal on the car as written:

Cash price of truck: $37,551
Dealer handling fee: $349
Fact cash incentive: ($2,200)

Net price of truck: $35,700

I live in a no tax state so $35,700 would be the final OTD on the truck.

Is this a decent price or am I leaving a lot on the table? I think this works out to be $89 over the dealer total invoice (which includes options, Destination charge, TDA, gas, holdback, fin reserve) - the factory cash incentive.

Any feedback would be appreciated.

I think you might be able to do a bit better. Just today I worked with a couple of internet managers at some Toyota dealers. I told them I wanted a DC, V8, 4X4, limited.

One dealer had the truck I'm looking for in stock with an MSRP of $40,242. He emailed me back and said he would sell it to me for $32,979. Gave me a confirmation number and said to present it to a sales manager when I arrive at the showroom.

Another gave me these three options to use as an example of what they could do for me.

That almost makes me sick to my stomach. In Canada toyota dealers won't sell for less than MSRP and the price on that truck without options (just the limited, can't get the limited TRD in Canada) is $46,000. That's why I bought an American truck, better than paying the $10,000 metric spedometer option!
